What is business acquisition finance?
Business acquisition finance is funding used to buy all or part of an existing business, whether that's a trade purchase, a management buyout (MBO) or buying out a business partner. It is usually a combination of sources rather than a single loan, sized around the profits and assets of the business being bought.
Lenders financing an acquisition care about two things above all: can the combined business afford the repayments from its cash flow, and what security or assets support the lending? That's why most deals are built from layers. A term loan might sit alongside invoice finance or asset-based lending against the target's debtors, stock and equipment, a commercial mortgage on any property, deferred payments to the seller, and your own contribution.
As a broker, we help you work out a realistic structure, prepare the information lenders will want and approach the lenders on our panel that suit the deal. We are not lawyers or corporate finance advisers, so we'll work alongside your accountant and solicitor, who handle valuation, due diligence and the legal side.
For smaller UK businesses, finance under the government-backed Growth Guarantee Scheme may also be available from accredited lenders, at their discretion.

Common building blocks in an acquisition
| Funding source | How it works | Things to know |
|---|---|---|
| Term loan | Lump sum repaid over a fixed term | Sized on the target's profits and cash flow |
| Invoice finance / ABL | Advance against debtors, stock, plant or property | Grows with the business; needs good credit control |
| Asset refinance | Raise cash against the target's equipment or vehicles | Assets must have resale value |
| Commercial mortgage | Long-term loan secured on business property | Property can be repossessed if repayments aren't met |
| Deferred or vendor payments | Seller receives part of the price later | Agreed with the seller; legal advice essential |
| Buyer contribution | Your own cash or investment | Lenders usually expect some personal commitment |
What lenders look for
Every lender is different, but most will want to understand the target's trading history and maintainable profits, the price and how it was reached, the experience of the people taking over, and how repayments will be covered after the deal. A clear plan for the first year after completion, and a sensible amount of headroom, often matters as much as the headline numbers.
Under the Growth Guarantee Scheme, the British Business Bank says finance can be used for any legitimate business purpose, for businesses with turnover up to £45m, at facility sizes up to £2m. The government guarantee is given to the lender, not the borrower, and your business remains fully liable for the debt. Whether a scheme-backed facility can be used for a particular acquisition is a decision for each accredited lender.
What lenders typically look at
- Information memorandum or summary of the target business
- Target's last two to three years of accounts and current management accounts
- Heads of terms or offer letter showing the price and structure
- Buyer CVs, showing relevant experience
- Cash flow forecast for the business after completion
- Details of your own contribution and any other funding
Things to consider
- Acquisition lending is often secured. Property, equipment or other assets may be repossessed if repayments aren't kept up.
- Personal guarantees from the buyers are common, so understand what you're signing and take independent legal advice.
- Taking on debt to buy a business increases risk; build in headroom for a slower first year.
- Due diligence, legal and valuation costs are separate from the finance and should be budgeted for.
- Deferred payments and earn-outs need careful legal drafting to avoid disputes later.

Business acquisition finance questions
Can I get a loan to buy a business?
Yes, buying a business is commonly funded with a mix of loans, asset-backed facilities, seller funding and your own money. Lenders will focus on whether the business can afford the repayments from its profits after the deal.
How much deposit do I need to buy a business?
There's no fixed rule. Lenders usually expect buyers to put in some of their own money, and the amount depends on the price, the target's assets and profits, and how much the seller is willing to defer.
Can a management buyout be financed?
Often, yes. MBOs are frequently funded using the business's own assets and cash flow, with some deferred payment to the outgoing owner and a contribution from the management team.
Can I use the Growth Guarantee Scheme to buy a business?
The British Business Bank says GGS facilities can be used for any legitimate business purpose, but each accredited lender decides whether to support a particular deal. Eligibility rules, including a turnover limit of £45m, apply.
Is Nexgen a lender or a corporate finance adviser?
Neither. We are a credit broker. We help you find and apply for the debt funding, while your accountant and solicitor advise on valuation, tax, due diligence and the legal agreements.
How long does acquisition finance take?
It depends on the size and complexity of the deal. Straightforward acquisitions with good information can take several weeks, while larger deals with multiple funders often take a few months.
